Terms of Use

This application has been developed by Elevature Pty Ltd, a certified Actionstep partner. MatterBoard is a paid subscription service. By using this application, you agree to the terms of service entered into between Elevature Pty Ltd and you, the subscribing party.

1.   About the Web Application
(a) Matterboard.com.au and app.matterboard.com.au (the "Website") are web-based applications designed to simplify the development of advanced document templates using merge fields within Actionstep (the "Services").
(b) The application is operated by Elevature Pty Ltd (ABN 96 648 025 307). By accessing and using the Website, you agree to our terms and conditions (the "Terms"). If you disagree with these Terms, you must cease access to the Website and Services immediately.
(c) Elevature Pty Ltd reserves the right to modify the Terms at its sole discretion by updating this page. Changes are effective immediately upon posting. We will endeavor to notify users of updates, but we recommend saving a copy of these Terms for your records. 

2.   Acceptance of the Terms
(a) By using the website, the web app, or by accepting the terms presented by Elevature Pty Ltd, you agree to these Terms.  

3.   Trial and Paid Services
(a) To access the Service, you acknowledge and agree that the Services access your information on Actionstep through its API.
(b) During registration or continued use of the Service, it may access personal information via the Actionstep API, including:
i. Full name
ii. Organisation
iii. Email address
(c) Completing registration makes you a registered member of the Website ("Member"), binding you to our Terms and granting you immediate access to the Service.
(d) A paid subscription ("Subscription") may be required to access the Service, along with the associated Subscription Fee.
(e) By purchasing a Subscription, you acknowledge that it is your responsibility to ensure the Service is suitable for your needs.
(f) Upon purchase, your organisation key will be stored to grant access to the Service until the agreement is terminated. All paid users associated with your Actionstep license will have access.
(g) You may not accept the Terms or use the Service if:
i. You are not of legal age to form a binding contract with Elevature Pty Ltd; or
ii. You are legally prohibited from receiving the Service under Australian law or the laws of the country in which you reside.

4.   Member Responsibilities
(a) As a member, you agree to:
i. Use the Services only for their intended purpose.
ii. Be a customer of Actionstep.
iii. Use the Service in accordance with applicable laws and regulations.
iv. Protect the confidentiality of your credentials and personal information. Unauthorized access may result in termination of the Services.
v. Use the Service within the limits of your Subscription.
vi. Not use the Service for commercial endeavors unless approved by Elevature Pty Ltd.
vii. Not reverse-engineer, decompile, or attempt to circumvent technical limitations in the Service.
viii. Not use the Service if you are a direct competitor of Elevature Pty Ltd without prior written consent.
ix. Not integrate or automate interactions with the Website or its Services unless authorized.

5.   Pricing and Payment
(a) Subscription Fees can be paid via:
i. Credit/Debit Card
ii. PayPal
(b) Payments are processed through Stripe, and you agree to Stripe's terms and conditions.
(c) You bear any banking fees incurred for payments.
(d) Elevature Pty Ltd reserves the right to vary the Subscription Fee at any time, with changes taking effect after the current Subscription Period.
(e) Subscription fees apply to each Actionstep environment, not to the number of users.
(f) All Subscription Fees are payable in advance and are subject to a 10% Goods and Services Tax (GST).

6.   Term and Termination
(a) The minimum subscription term is one (1) month, after which it renews monthly unless terminated.
(b) The monthly Subscription Fee is $50 AUD, payable at the start of each period via direct debit.
(c) This agreement remains in effect until terminated by either party, whether or not the Service is actively used.
(d) You may terminate your Subscription at any time by emailing support@matterboard.com.au. No refunds will be issued for early termination.

7.   Refund Policy
(a) Refunds will only be provided if the Service is unable to continue. Refunds are at the sole discretion of Elevature Pty Ltd management.


8.   Copyright and Intellectual Property
(a) The Website, Services, and related products of Elevature Pty Ltd are protected by copyright under Australian law and international treaties.
(b) As a Member, you are granted a limited license to use the Website and its materials, but not to copy, modify, or sublicense any content.
(c) You may:
i. Use the Website according to our Terms.
ii. Store Website content in your device’s cache.
iii. Print Website pages for personal use.
(d) All other rights are reserved. You gain no rights over intellectual property by using the Website.
(e) Written permission is required for any use of Website content not covered by these Terms. 

9.   Privacy
(a) Personal data is governed by Elevature Pty Ltd’s privacy policy, which is included within this Agreement.

10. General Disclaimer
(a) Nothing in the Terms limits guarantees implied by law, including Australian Consumer Law.
(b) Elevature Pty Ltd is not liable for any special, indirect, or consequential loss or damages, including but not limited to:
i. Performance failures or errors.
ii. Inaccuracies in information provided on the Website.
iii. Costs incurred by using the Service.
iv. Issues arising from links provided for convenience.

11. Limitation of liability
(a) Elevature Pty Ltd's total liability is limited to the resupply of the Service or the amount paid for its use.
(b) Elevature Pty Ltd is not liable for direct, indirect, incidental, or consequential damages, including loss of profit, goodwill, or reputation.

12.Warranties
(a) Elevature Pty Ltd warrants the availability of the online Services but is not responsible for downtime due to factors beyond its control.

13. Indemnity
(a) You agree to indemnify Elevature Pty Ltd and its affiliates, employees, and agents from any claims or liabilities arising from your use of the Website or breach of these Terms.

14. Dispute Resolution
(a) Disputes arising under these Terms must first be addressed through written notice and negotiation. If unresolved, a mediator will be appointed. Mediation will take place in Queensland, Australia.

15. Venue and Jurisdiction
(a) Any disputes related to the Website or Services will be resolved in the courts of Queensland, Australia.

16. Governing Law
(a) The Terms are governed by the laws of Queensland, Australia, and will benefit the parties and their successors.

17.Severance
a) If any part of these Terms is found unenforceable, the remainder will continue in effect.
